This Customer agreement is an agreement between you (Customer, User of this site) and sendbm.com (Site, App, We, Us) that states the terms and conditions under which you may use the Site and receive sendbm service, which includes delivery of product orders.

These Terms and Conditions and Privacy Policy are effective upon acceptance in registration for new registering users and are otherwise effective from 20 December 2018 for all users. By registering/signing up on the website you confirm that you have read and agreed to these Terms and Conditions and the Privacy Policy. If you do not agree to these Terms and Conditions and/or our Privacy Policy, please do not register for or use sendbm.com.

If you are under 18, you may use sendbm.com only with involvement of a parent or guardian.

Use of the sendbm.com Site

Purchase of the software is not free of charge. You are not allowed to bypass the registration process and access the system without buying the software license. sendbm does not charge any fee for browsing on the Website. In particular, sendbm may at its sole discretion introduce new services and modify some or all of the existing services offered on the Website. In such an event Website reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be.

Non-payment

sendbm.com reserves the right to issue a warning, temporarily /indefinitely suspend or terminate your membership of the Website and refuse to provide you with access to the website in case of non-payment of fees by you to sendbm. sendbm also reserves the right to take legal action in case of non-payment of fees by you to sendbm. You shall not attempt to or circumvent or manipulate the billing process or Fees owed to sendbm incorporated by way of reference in this Agreement.

Your Account

You agree to provide sendbm with accurate and complete information as required by registration for sendbm Service including, but not limited to, your legal name, billing and Shipping addresses, telephone/mobile number. You will remain liable for any use of the sendbm Service until you notify sendbm of the unauthorized use, loss or theft.

Usage of the Email of the User

sendbm may send order confirmation & update the customer on the order status and any further order information via Email given by the customer at the time of ordering. The customer hereby unconditionally consents such intimation by sendbm in accordance with the ‘Do not disturb’ guidelines of any authority in the respective country.

Payment

Payment is due on presentation of invoice unless credit terms have been agreed in writing with sendbm. sendbm shall invoice Customer: on acceptance of the Customer’s order in respect of software; on the shipment in respect of hardware; on completion of professional services or monthly in arrears in respect of recurring services unless otherwise agreed in writing and in advance in respect of maintenance and support services.

If payment is not made on the due date, sendbm will be entitled to charge the interest calculated daily and any additional damages due to late payment by the consumer at sendbm’s discretion.

While availing any of the payment method/s available on the Platform, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to you due to:

Lack of authorization for any transaction/s, or

Exceeding the limit mutually agreed by You and between “Bank/s”, or

Any payment issues arising out of the transaction, or

Decline of transaction for any other reason/s.

Before shipping / delivering your order to you, Seller may request you to provide supporting documents (including but not limited to Govt. issued ID and address proof) to establish the ownership of the payment instrument used by you for your purchase. This is done in the interest of providing a safe online shopping environment to Our Users.

You have specifically authorized sendbm or its service providers to collect, process, facilitate and remit payments and/or the Transaction Price electronically or through Cash on Delivery to and from other Users in respect of transactions through Payment Facility.

You understand, accept and agree that the payment facility provided by sendbm is neither a banking nor financial service but is merely a facilitator providing an electronic, automated online electronic payment, receiving payment through Cash On Delivery, collection and remittance facility for the Transactions on the sendbm Platform using the existing authorized banking infrastructure and Credit Card payment gateway networks. Further, by providing Payment Facility, SendBm is neither acting as trustees nor acting in a fiduciary capacity with respect to the Transaction or the Transaction Price.

SendBm reserves the right to refuse to process Transactions by Buyers with a prior history of questionable charges including without limitation breach of any agreements by Buyer with SendBm or breach/violation of any law or any charges imposed by Issuing Bank or breach of any policy.

As required by applicable law, if the Customer makes a purchase of an amount equal to or above INR 50,000.00, the Customer will be required to update the PAN number.

All Valid Credit / Debit/ Cash Card/ and other payment instruments are processed using a Credit Card payment gateway or appropriate payment system infrastructure and the same will also be governed by the terms and conditions agreed to between the Buyer and the respective Issuing Bank and payment instrument issuing company.

All online bank transfers from valid bank accounts are processed using the gateway provided by the respective issuing bank which supports payment facility to provide these services to the users. All such online bank transfers on payment facility are also governed by the terms and conditions agreed to between buyer and the respective issuing bank.

Any auto debit from your credit or debit card or bank accounts to sendbm shall not be eligible for refunds in case of

  1. Forgetting to cancel the auto renew process.
  2. No more interested in using the product.
  3. Having issue with software usage.
  4. Finding difficult to use new features.
  5. Or any challenges.

Talk to us and we will help with upgrade but refund is not allowed. We can cancel your future subscription from auto debit if the customer is willing to discontinue.

Arbitration

If any dispute arises between you and sendbm during your use of the website or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of the Customer Agreement, the dispute shall be referred to a sole Arbitrator, who shall be an independent and neutral third party identified by sendbm.

The arbitration proceedings shall be in the English language.

Indemnification

You agree to defend, indemnify and hold sendbm and its Associates harmless from any claims and expenses, including attorney’s fees, arising in connection with a violation of this Agreement by you or through use of your account. The limitations and exclusions in this section apply to the maximum extent permitted by applicable law.
